User Agreement

Before using the PLAUD applications ("App", "Application") and related services ("Service") operated by PLAUD Inc. ("we", "us", or "our"), please read this User Agreement ("Agreement", "Terms") carefully. Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.
- App/Application: Refers to the PLAUD software application.
- Company: Refers to PLAUD Inc., located at 8 The Green, Ste A, Dover, Kent County, Delaware 19901, US.
- Content: Refers to content such as text, audio, images, or other information that can be posted, uploaded, linked to or otherwise made available by you, regardless of the form of that content. We distinguish between "Private Content" and "Public Content".
- Private Content: Means the audio recordings, transcripts, and other data you upload or create in your personal account.
- Public Content: Means the Content that you voluntarily create and choose to publish to a public or community area of the Service.
- Service: Refers to the services provided by PLAUD Inc., including the App, our App web portal, and related AI-powered features.
- You: A person or entity that is registered with us to use the Services.
The Service provides you with tools to manage your audio recordings, including AI-powered transcription and analysis features. To enable the professionally tailored nature of the Service, we process your information and Content in accordance with our Privacy Policy. This includes how we collect, use, store, and protect your personal data. We reserve the right to modify or discontinue the Service at any time.
When you create an account with us, you guarantee that the information you provide is accurate, complete, and current. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Parts of the Service are available under a paid subscription. We reserve the right to modify subscription fees, and any changes will take effect at the end of the current billing cycle with reasonable prior notice. Your continued use of the Service after a fee change constitutes your agreement to pay the revised fee. All payments are non-refundable unless required by law. For specific refund eligibility on certain unused products, please refer to our posted refund policy or contact customer support.
Subject to these Terms, we grant you a limited, non-exclusive, perpetual, revocable, and non-transferable license to download, install, and use the App on a device that you own or control, strictly for your personal or internal business purposes in connection with the Service.
- Ownership of Your Content. You retain all of your ownership rights in your User Content, whether it is Private Content or Public Content. This Agreement does not grant us any ownership of your User Content.
- License to Your Private Content. For your Private Content, you grant PLAUD a limited, worldwide, royalty-free, non-exclusive license to host, store, process, analyze, and display your Private Content solely for the purpose of providing, maintaining, and optimizing the Service for you. We will not share your Private Content with any third party (except for our service providers who are bound by confidentiality obligations) or other users, and we will not use it for any purpose other than providing the Service directly to you.
- License to Your Public Content. When you create, submit, or publish Public Content, you grant PLAUD a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable license to use, host, store, copy, modify, distribute, publish, and publicly display your Public Content for all purposes related to operating, promoting, improving, and commercializing the Service, including, without limitation, making your Public Content available to other users as part of a free or paid subscription tier. In granting this license to us, you also grant every other user of the Service a non-exclusive license to access and use your Public Content, as permitted by the functionality of the Service and these Terms.
- Your Responsibilities. You are solely responsible for your User Content and your conduct. You represent and warrant that: (i) you are the creator and owner of your Content, or you have all necessary rights, licenses, and consents to grant the licenses set forth in this Agreement; and (ii) your User Content, and our use of it as permitted by this Agreement, does not and will not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, or right of publicity.

Prohibited Conduct. You agree not to, and you will not permit others to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
- Upload, post, or distribute any Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate.
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the App or make the App available to any third party outside the scope of this Agreement.
- Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the App or Service.
- Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of PLAUD or its affiliates, partners, or suppliers.
- Our Intellectual Property. The Service and the App, including their original content (excluding User Content), features, and functionality, are and will remain the exclusive property of PLAUD Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.
- Your Suggestions. Any feedback, comments, ideas, improvements, or suggestions ("Suggestions") you provide to us with respect to the App or Service shall remain our sole and exclusive property. We are free to use, copy, modify, publish, or redistribute the Suggestions for any purpose and in any way without any credit or compensation to you.
Our Service may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. We strongly advise you to read their terms and privacy policies.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by discontinuing use of the Service or using the account deletion feature in the App.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Your use of the Service is at your sole risk. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall PLAUD Inc., nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service or any conduct or content of any third party.
You agree to defend, indemnify, and hold harmless PLAUD Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account; b) a breach of these Terms, or c) your User Content.
- Governing Law. These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
- Severability and Waiver. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision will not be considered a waiver of those rights.
- Entire Agreement. These Terms constitute the entire agreement between you and us regarding our Service and supersede and replace any prior agreements we might have had.
- Changes to this Agreement.We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice. By continuing to use our Service after revisions become effective, you agree to be bound by the revised terms.
